Job Description

What you will deliver

Corporate Secretarial Compliance

  • Ensure full compliance with corporate laws including Companies Act, SEBI Regulations, Listing Regulations, FEMA, and other laws applicable to both listed and unlisted companies.
  • Manage secretarial functions including preparation of board and general meeting agendas, minutes, notices, resolutions, statutory registers, and regulatory filings.

Board and Shareholder Governance

  • Support the Board, Committees, and independent directors in the effective discharge of their duties in line with applicable laws and internal governance frameworks.
  • Provide guidance to senior management on governance matters, shareholder relations, and regulatory compliance.

Regulatory and Stakeholder Liaison

  • Coordinate with regulators including MCA, ROC, SEBI, Stock Exchanges, RBI, and other authorities.
  • Handle shareholder communications, litigation support, and e-filing of statutory documents.

Governance Strategy and Reporting

  • Draft and review the Annual Report and other key statutory disclosures and reports.
  • Implement governance policies and procedures aligned with the highest ethical and compliance standards.

Team Leadership and Development

  • Oversee and manage a team of three professionals, ensuring delivery of high-quality secretarial services.
  • Contribute to the development of a new company secretarial operations hub in Pune, supporting global initiatives and process standardisation.

Advisory and Compliance Monitoring

  • Stay updated on regulatory changes, analyze implications, and ensure timely dissemination and action.
  • Advise internal teams on strategic corporate governance matters, offering insights grounded in legislation and best practices.

Process and Digital Transformation

  • Support organisational change and simplification of secretarial processes through technology adoption and automation.
  • Bring a digital-first approach to work delivery, improving speed, accuracy, and scalability of secretarial services.

What you will need to be successful

Education & Qualifications

  • Company Secretary (Mandatory)
  • LLB (Preferred)

Experience

  • 10–12 years of experience in corporate secretarial roles, primarily with listed companies of repute
  • Proven experience managing teams and working in matrixed, multinational environments
  • Strong exposure to India's corporate governance and regulatory landscape

Key Competencies

  • Strong understanding of Indian corporate, listing, and securities regulations
  • Demonstrated ability to work cross-functionally and across geographies
  • Excellent research, advisory, and drafting skills
  • High attention to detail and ability to deliver under evolving priorities
  • Track record of introducing digital tools or automation in secretarial work
  • Strong communication, interpersonal, and stakeholder management skills
  • Ability to handle confidential matters with integrity and professionalism
